1. Acceptance of Terms

By accessing or using the website located at www.livingriver.mom, any subdomains, and all related services, products, and platforms provided by HONG KONG LIVING RIVER EDUCATION TECHNOLOGY CO., LIMITED, a company registered in Hong Kong, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site and our services.

These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity, and LIVING RIVER concerning your access to and use of our website and services. You represent and warrant that you have the legal capacity to enter into this agreement and that you are at least eighteen years of age. If you are accessing our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Definitions

Throughout these Terms of Service, the following definitions apply: Company, We, Us, or Our refers to HONG KONG LIVING RIVER EDUCATION TECHNOLOGY CO., LIMITED, operating as LIVING RIVER. Services refers to the website, applications, platforms, consulting, development, and any other offerings provided by the Company. User, You, or Your refers to the individual or entity accessing or using our Services. Content refers to any text, images, data, code, audio, video, or other materials uploaded, transmitted, or made available through our Services. Intellectual Property Rights refers to all patents, copyrights, trademarks, trade secrets, and other proprietary rights recognized under applicable law.

3. Description of Services

LIVING RIVER provides integrated computer systems design and education technology services, including but not limited to learning management system development and deployment, digital content platform creation and management, cloud infrastructure architecture and consulting, IT systems integration, technical advisory services, and related professional, scientific, and technical services. The specific scope, deliverables, timelines, and fees for any project or engagement shall be defined in a separate written agreement, statement of work, or service agreement executed by both parties.

4. User Obligations and Conduct

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not use our Services in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party's use of our Services. You shall not attempt to gain unauthorized access to any part of our Services, other accounts, computer systems, or networks through hacking, password mining, or any other means. You shall not upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially or ethnically objectionable. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

5. Intellectual Property

All intellectual property rights in and to the website, services, and all content, materials, software, code, design, graphics, logos, trademarks, and documentation provided by LIVING RIVER are owned by or licensed to the Company and are protected by copyright, trademark, patent, and other intellectual property laws of Hong Kong and applicable international treaties. Except as expressly authorized by LIVING RIVER in writing, you may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website or services.

For custom development projects, intellectual property ownership of deliverables shall be addressed in the governing project agreement. Unless otherwise specified in such agreement, LIVING RIVER retains ownership of all pre-existing materials, tools, frameworks, and methodologies used in the development process, while the client receives an irrevocable, perpetual, worldwide license to use the deliverables for their business purposes.

6. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall HONG KONG LIVING RIVER EDUCATION TECHNOLOGY CO., LIMITED, its directors, officers, employees, agents, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use our Services; any conduct or content of any third party on our Services; any content obtained from our Services; and unauthorized access, use, or alteration of your transmissions or content.

Our total liability arising out of or in connection with these Terms or the Services, whether in contract, tort, or otherwise, shall not exceed the amount paid by you to LIVING RIVER during the twelve-month period preceding the event giving rise to the liability, or one hundred US dollars if no such payments have been made.

7. Disclaimer of Warranties

Our Services are provided on an as is and as available basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. LIVING RIVER does not warrant that the Services will be uninterrupted, timely, secure, or error-free; that the results obtained from the use of the Services will be accurate or reliable; or that any errors or defects will be corrected. You acknowledge that any reliance upon any content or materials obtained through our Services is at your own risk.

8. Indemnification

You agree to defend, indemnify, and hold harmless HONG KONG LIVING RIVER EDUCATION TECHNOLOGY CO., LIMITED and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses including legal fees arising from your use of and access to the Services; your violation of any term of these Terms; your violation of any third-party right, including any copyright, property, or privacy right; or any claim that your content caused damage to a third party. This indemnification obligation shall survive the termination of these Terms and your use of the Services.

9. Payment Terms

For paid services, payment terms shall be specified in the applicable service agreement, statement of work, or invoice. Unless otherwise agreed in writing, invoices are due within thirty calendar days of the invoice date. Late payments shall accrue interest at the rate of one and one-half percent per month, or the maximum rate permitted by law, whichever is less. All fees are exclusive of applicable taxes, levies, or duties, which shall be the responsibility of the client.

10. Confidentiality

Each party agrees to maintain the confidentiality of all non-public information disclosed by the other party in connection with the Services, whether disclosed orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not include information that is or becomes publicly known through no breach of this agreement; was known to the receiving party prior to disclosure; is received from a third party without breach of any obligation of confidentiality; or is independently developed by the receiving party without use of the disclosing party's confidential information. Both parties shall use the same degree of care to protect confidential information as they use to protect their own confidential information of like nature, but in no event less than reasonable care.

11. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services shall immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty calendar days, the dispute shall be submitted to binding arbitration in Hong Kong in accordance with the rules of the Hong Kong International Arbitration Centre (HKIAC). The arbitration shall be conducted in English before a single arbitrator. The arbitration award shall be final and binding on both parties.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least thirty calendar days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please discontinue using the Services.

14. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, epidemics, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect. The failure of LIVING RIVER to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision must be in writing and signed by an authorized representative of LIVING RIVER.
